  • Digital content, design and related business support.

These Terms & Conditions apply to the use of this website. Additional terms may apply to individual projects, packages or ongoing services, as outlined in a separate proposal, agreement or statement of work.

Where a separate written client agreement applies, the terms of that agreement will take precedence over these website terms in the event of an inconsistency relating to the services covered by that agreement.

2. Use of This Website

You agree to use this website for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the website.

You must not:

  • Use this website for unlawful, fraudulent or misleading purposes.

  • Attempt to gain unauthorised access to the website or its systems.

  • Copy, reproduce or distribute website content for commercial purposes without permission.

  • Introduce malicious software or engage in activity that may disrupt the website.

Spica Socials reserves the right to restrict access to the website where misuse or security concerns arise.

3. Services and Enquiries

Information about services on this website is provided for general information purposes.

Submitting an enquiry or booking a discovery call does not automatically establish a client relationship or guarantee availability.

The scope of work, deliverables, pricing, timelines and any specific requirements will be confirmed before a project or ongoing service begins.

Spica Socials reserves the right to decline an enquiry or project where the requested services are outside the scope of its offerings or availability.

4. Pricing and Payments

Prices displayed on this website are indicative unless expressly stated otherwise. The final price for services will be confirmed in a written proposal, quote or client agreement before work commences.

Unless otherwise agreed in writing:

  • Payment terms will be outlined in the relevant proposal, invoice or client agreement.

  • Invoices must be paid by the specified due date.

  • Any applicable deposits or upfront payments must be received before the relevant work begins.

  • Additional work outside the agreed scope may incur additional charges, which will be discussed and approved before the work proceeds.

  • Any applicable taxes will be identified in the relevant pricing or invoice documentation.

Where an invoice remains unpaid, Spica Socials may pause work or withhold delivery of outstanding materials after providing appropriate notice and an opportunity to resolve the overdue payment.

Pausing work may affect project timelines and delivery dates.

Nothing in these terms excludes any rights or remedies that cannot lawfully be excluded under applicable law.

5. Client Responsibilities

Clients are responsible for providing the information, materials, feedback, approvals and access reasonably required for Spica Socials to complete the agreed work.

This may include:

  • Brand guidelines, logos, images and other content.

  • Website, social media and email marketing platform access.

  • Accurate business information and relevant product or service details.

  • Timely feedback and approvals.

  • Confirmation that supplied content may lawfully be used for the intended purpose.

Clients are responsible for ensuring that information supplied to Spica Socials is accurate and that they have the necessary rights and permissions to use any materials provided.

Delays in providing information, access or approvals may affect project timelines. Where delays occur, revised delivery dates may be agreed.

6. Scope of Work and Revisions

Services will be delivered according to the scope outlined in the relevant proposal or client agreement.

Requests that fall outside the agreed scope may require an additional quote or written approval before work proceeds.

Where revisions are included in a service, the number and extent of revisions will be outlined in the relevant agreement. Additional revisions or substantial changes to previously approved work may incur additional charges.

Spica Socials will communicate any proposed additional costs before proceeding.

7. Social Media and Digital Marketing

Social media and digital marketing services are provided based on the agreed scope of work and the information available at the time.

Spica Socials does not guarantee specific outcomes, including:

  • Increases in followers, engagement or reach.

  • Sales, leads or enquiries.

  • Website traffic or search engine rankings.

  • Email open rates, click-through rates or conversions.

  • Revenue, profitability or business growth.

Results depend on many factors outside the control of Spica Socials, including platform algorithms, audience behaviour, market conditions, advertising budgets and the client's products or services.

Clients remain responsible for the accuracy of their business claims, the legality of their offers and the final approval of content where approval is required.

8. Website Design and Updates

Website services will be delivered according to the agreed project scope, including the specified pages, features, content and functionality.

Unless expressly included in the agreement, website services do not automatically include ongoing maintenance, hosting, domain registration, premium software subscriptions, third-party integrations or future updates.

Clients are responsible for ongoing third-party subscription fees and any additional services not included in the agreed scope.

Website performance and functionality may be affected by third-party platforms, software updates, hosting providers and integrations outside the control of Spica Socials.

Spica Socials cannot guarantee uninterrupted website availability or compatibility with every device, browser or third-party service.

Clients are responsible for reviewing and approving website content before launch, unless otherwise agreed in writing.

9. Email Marketing and Substack

Email marketing and Substack services may include campaign planning, content creation, design, setup and platform support, depending on the agreed scope.

Clients are responsible for ensuring that mailing lists, subscriber data and marketing activities comply with applicable privacy, data protection and electronic marketing laws.

This includes obtaining any required permissions, providing appropriate privacy information and ensuring that recipients can unsubscribe where required.

Spica Socials is not responsible for the accuracy, legality or original source of client-provided subscriber lists.

Third-party platforms may change their features, pricing, policies or functionality at any time. Spica Socials is not responsible for changes or service interruptions caused by those providers.

10. Intellectual Property

Unless otherwise agreed in writing, all original website content, branding, designs, templates, written materials and other intellectual property belonging to Spica Socials remain the property of Spica Socials.

Upon full payment of the relevant invoices, the client will receive the rights to use the final deliverables as specified in the relevant proposal or client agreement.

Third-party assets, fonts, stock imagery, software, templates and platform materials remain subject to their respective licences and terms of use.

Spica Socials does not transfer ownership of third-party intellectual property and cannot grant rights beyond those permitted by the relevant licence.

Clients retain ownership of materials they provide, subject to any applicable third-party rights.

11. Portfolio and Promotional Use

Spica Socials may wish to display completed work in its portfolio, website or marketing materials.

Client work will only be used for promotional purposes where permission has been obtained or where such use is otherwise permitted by the applicable agreement and law.

Clients who do not wish their work to be used for promotional purposes should raise this before the project begins so that the arrangement can be confirmed in writing.

12. Third-Party Platforms and Services

Spica Socials may use or work with third-party platforms, including social media networks, website builders, email marketing providers, scheduling tools and design software.

These platforms operate independently and are subject to their own terms, privacy policies, fees and technical requirements.

Spica Socials is not responsible for third-party platform outages, account restrictions, algorithm changes, data loss caused by third parties or changes to platform features and policies.

Clients remain responsible for maintaining ownership of their accounts, safeguarding login credentials and complying with the terms of the platforms they use.

13. Confidentiality and Data Protection

Spica Socials will take reasonable steps to protect confidential client information received in connection with the provision of services.

Personal information will be handled in accordance with the Spica Socials Privacy Policy and applicable privacy and data protection laws.

Clients are responsible for ensuring they have the necessary authority to share any personal information or confidential materials supplied for a project.

Confidentiality obligations may be further detailed in an individual client agreement where required.

14. Cancellations and Termination

Cancellation, notice periods, refunds and termination arrangements for individual services will be outlined in the relevant proposal or client agreement.

For ongoing services, clients should refer to their agreement for the required notice period and any applicable minimum term.

Where a project is cancelled after work has commenced, payment may be due for work completed, services already delivered and any non-refundable costs properly incurred, subject to the applicable agreement and law.

Spica Socials may suspend or terminate services where there is a material breach of the relevant agreement, including persistent non-payment, subject to any applicable notice or remedy requirements.

Nothing in this section removes any cancellation, refund or other rights that may apply under consumer protection laws.

15. Limitation of Liability

To the extent permitted by applicable law, Spica Socials will not be responsible for indirect or consequential losses arising from the use of this website or the provision of services.

Spica Socials is not responsible for losses resulting from inaccurate information supplied by a client, unauthorised access to client accounts, third-party platform changes or a client's failure to review and approve materials where approval is required.

Nothing in these Terms & Conditions excludes, restricts or modifies any consumer guarantees, statutory rights or other protections that cannot lawfully be excluded or limited.

Where liability can lawfully be limited, any applicable limitation will be subject to the relevant client agreement and the law governing the matter.

16. Website Content and Accuracy

The information provided on this website is intended for general information purposes and may be updated from time to time.

While reasonable care is taken to keep information accurate and current, Spica Socials does not guarantee that all website content will always be complete, current or free from errors.

Service descriptions, examples and general information do not constitute a guarantee of specific outcomes.

17. External Links

This website may contain links to third-party websites or resources for convenience or informational purposes.

Spica Socials does not control or endorse all content on external websites and is not responsible for their availability, accuracy, security or privacy practices.

Accessing external websites is at your own discretion.

18. Changes to These Terms

Spica Socials may update these Terms & Conditions from time to time to reflect changes to its services, website or applicable legal requirements.

Updates will be published on this page, with the revised date shown at the top.

Changes to these website terms will not automatically alter the terms of an existing client agreement. Changes to an individual agreement must be made in accordance with that agreement and applicable law.

Continued use of the website following an update indicates that you have had the opportunity to review the revised terms. It does not override any legal rights that apply.

19. Governing Law

The laws applicable to a particular service or agreement will depend on the circumstances of the engagement and any governing law provisions agreed between the parties.

Nothing in these Terms & Conditions limits any mandatory legal rights that apply to a visitor or client under the laws of their location.
